On December 3, 2025, a meeting of the creditors of AUGA group, RAB legal entity code 126264360 (hereinafter \u2013 the \u201eCompany<\/b>\u201c) was held (hereinafter \u2013 the \u201eMeeting<\/b>\u201c), during which the Company\u2019s Creditors\u2019 Committee was formed, its functions were defined, and the Committee\u2019s Rules of Procedure were approved.<\/p>\n

As stipulated in the Company\u2019s approved restructuring plan, the Meeting appointed 5 members to the Creditors\u2019 Committee:<\/p>\n

  1. Chairperson of the Creditors\u2019 Committee \u2013 Chairperson of the Creditors\u2019 Meeting and representative of creditors whose claims are secured by pledge and\/or mortgage \u2013 Komanditin\u0117 \u016bkin\u0117 bendrija \u201ePagalbos verslui fondas\u201c.<\/li>\n
  2. Representative of employees\u2019 interests \u2013 Laurynas Mi\u0161kinis.<\/li>\n
  3. Representative of creditors whose claims are secured by pledge and\/or mortgage \u2013 U\u017edaroji akcin\u0117 bendrov\u0117 \u201eOkseta\u201c.<\/li>\n
  4. Representative of other creditors\u2019 group \u2013 Akciju sabiedriba \u201eCitadele banka\u201c Lietuvos filialas.<\/li>\n
  5. Representative of other creditors\u2019 group \u2013 U\u017edaroji akcin\u0117 bendrov\u0117 \u201eUrbo bankas\u201c.<\/li>\n<\/ol>\n

    The composition of the Creditors\u2019 Committee complies with the procedure set out in the restructuring plan, as it includes two largest secured creditors, two of the largest representatives of other creditors\u2019 group, and a representative of employees\u2019 interests. The nomination of U\u017edaroji akcin\u0117 bendrov\u0117 \u201eUrbo bankas\u201c as the third largest representative of other creditors\u2019 group was proposed after the second largest creditor \u2013 BIGBANK AS filialas \u2013 declined to participate in the Committee.<\/p>\n
